IMPORTANT - READ CAREFULLY: This RepTime Software License Agreement for a Single User computer or Network Server ("License Agreement") is a legal agreement between you (either an individual or single entity) and Compsulting LLC. applicable to any RepTime software product identified above. This product includes computer software and associated media, printed materials, on-line help and documentation. By installing and using this software product, you agree to be bound by the terms of the LICENSE AGREEMENT, which is written below. If you do not agree to the terms of this LICENSE AGREEMENT, promptly return this software and all associated materials to Compsulting LLC - Dallas, TX 75207.

The RepTime Software is owned and copyrighted by Compsulting, LLC. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software. Compsulting LLC., Inc. grants you a nonexclusive, nontransferable, and irrevocable license to use the software RepTime on a single or subsequent (but not additional) microcomputer. You agree not to (a) rent, lease, lend, sub-license or otherwise transfer the materials or your rights hereunder; (b) alter, decompile or disassemble the programs, or reverse engineer the programs in any way; (c) utilize RepTime on any service bureau, timesharing, or interactive cable system; (d) use any third party software to access, add to or alter the RepTime database.

A licensee's use of third party software which accesses, adds to or alters the RepTime database in any way is in direct violation of this Software License Agreement and U.S. copyright laws. If any licensee uses such third party software, Compsulting LLC., Inc. will discontinue services provided under its Updates and Support Program.

Compsulting LLC., Inc. warrants that the software will operate as described. You acknowledge that the software is of such complexity that it may contain inherent defects ("bugs") and agree that Compsulting LLC., Inc.'s sole liability will be to provide programming services required to correct such defects, provided that said defects are brought to the attention of Compsulting LLC. and the user participates in the RepTime Updates and Support Program.

You agree that Compsulting LLC. will not be liable for any lost profits or any claim of any kind by any party due to operation of the software. You further agree that since we can't control your choice of software or your microcomputing habits, it is your responsibility to (a) select programs that meet your needs; (b) make backups of your data regularly; (c)choose, maintain, and match your hardware, operating system software, and other applications software; and (d) install, use and obtain results from RepTime. RepTime is licensed "as is". We cannot guarantee you uninterrupted service or the correction of any errors.

You also understand that successful operation of the software is absolutely dependent upon your personnel following proper operational procedures and becoming generally computer literate and familiar with their hardware.

A backup copy of RepTime is provided for the sole purpose of use if your hard disk becomes damaged. Any other use of said backup copy is prohibited.

You agree that since unauthorized use of the software will greatly diminish the value to Compsulting LLC. of the proprietary information contained therein if customer breaches its obligations with respect to non-disclosure of the software, Compsulting LLC., Inc. shall be entitled to equitable relief including, but not limited to, all cost, investigative and attorney fees, lost profits and sale, adverse publicity and all other losses.

Unauthorized duplication or transfer of these materials is subject to all applicable state and federal criminal and civil statutes and penalties.

"RepTime" is a registered trademark owned by Compsulting, LLC. The "RepTime" software and manual are copyrighted and protected by U.S. Copyright Laws.
